These Terms & Conditions (“Terms”) govern your access to and use of the website, services, and communications provided by Bent Creative (“Bent Creative,” “we,” “us,” or “our”). By accessing our website, engaging our services, or opting in to communications from us, you (“you,” “your,” or “Client”) agree to be bound by these Terms. If you do not agree, please do not use our website or services.

Bent Creative is a digital marketing agency serving businesses in the trades and related industries. Our services include, but are not limited to, website design and development, social media content, paid advertising management (including Google, Meta, and Yelp), review and reputation management, lead generation, and content production.

2. Services
Bent Creative provides marketing services as described in your applicable proposal, service agreement, statement of work, or order form (collectively, your “Service Agreement”). These Terms apply in addition to any Service Agreement. In the event of a direct conflict between these Terms and a signed Service Agreement, the Service Agreement controls.
We may modify, add to, or discontinue features of our services at any time, provided that any material change affecting active engagements will be communicated to you.
3. Client Responsibilities
To deliver our services effectively, you agree to:
- Provide accurate, complete, and timely information, materials, access, and approvals reasonably necessary for us to perform the services.
- Grant and maintain any account access we require (such as advertising platforms, analytics, hosting, domain, or business profile accounts), and promptly notify us of any changes to that access.
- Ensure that any content, images, logos, or other materials you provide to us do not infringe the rights of any third party.
- Comply with all applicable laws and the terms of service of any third-party platform used in connection with your marketing.
Delays or incomplete information from you may affect timelines and results, and we are not responsible for outcomes attributable to such delays.
4. Fees & Payment
Fees, billing frequency, and payment terms are set out in your Service Agreement. Unless otherwise stated:
- Recurring services are billed in advance on a subscription basis and continue until canceled in accordance with these Terms or your Service Agreement.
- Advertising budgets (media spend) paid to third-party platforms are separate from our management fees unless expressly stated otherwise.
- Invoices are due upon receipt or per the schedule in your Service Agreement. Late or failed payments may result in suspension or termination of services.
- All fees are non-refundable except where required by law or expressly stated in your Service Agreement.
5. Messaging & SMS Opt-In
As part of our lead generation services, we can send you Meta Ads lead information directly to your phone, instantly. Please indicate “yes” or “no” to receive transactional/informational text messages from Bent Creative. Message frequency will vary. Msg & data rates may apply. Reply HELP for help or STOP to opt-out.

Program description. The Bent Creative messaging program sends transactional and informational notifications, such as alerts when a new lead is received. We do not send marketing or promotional text messages through this program.
Opting out. You can cancel the SMS service at any time by replying “STOP” to any message. After you send “STOP,” we will send a confirmation message and then stop sending SMS messages to you. If you want to rejoin, sign up as you did the first time and we will resume sending messages.
Help. Reply “HELP” at any time for assistance, or contact us at [Contact Email] or [Contact Phone].
Carriers. Carriers are not liable for delayed or undelivered messages.
Privacy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties. Information collected through the messaging program is handled in accordance with our Privacy Policy.
6. Intellectual Property
Our materials. All content, software, designs, templates, processes, and methodologies developed or owned by Bent Creative, including our name, logo, and brand assets, remain our exclusive property. Nothing in these Terms transfers ownership of our pre-existing or proprietary materials to you.
Deliverables. Upon full payment, you receive a license to use the final deliverables produced specifically for you (such as your website content and creative assets) for your business purposes, subject to any third-party license terms (for example, stock assets or fonts). We may retain and reuse general know-how, techniques, and non-client-specific components.
Photography and content. Where we produce photography or other original content for your business, ownership and usage rights are as specified in your Service Agreement.
Portfolio use. Unless you request otherwise in writing, you grant us the right to reference your business and display work we produced for you in our portfolio, case studies, and marketing materials.
7. Third-Party Platforms & Services
Our services rely on third-party platforms (including but not limited to Google, Meta, Yelp, hosting providers, and communication tools). We do not control these platforms and are not responsible for their availability, policies, pricing, algorithm changes, account actions, or performance. Your use of those platforms is subject to their respective terms.
8. No Guarantee of Results
Marketing outcomes depend on many factors outside our control, including market conditions, competition, third-party platform behavior, your responsiveness, your pricing, and your ability to convert leads. While we apply industry best practices and work diligently on your behalf, we do not and cannot guarantee specific results, including any particular number of leads, calls, rankings, impressions, conversions, revenue, or return on investment. Any examples, benchmarks, or past results are illustrative and not a promise of future performance.
9. Confidentiality
Each party may have access to non-public information of the other party. Both parties agree to keep such information confidential and to use it only for the purpose of performing under these Terms and any Service Agreement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
10. Term & Termination
The term and cancellation process for recurring services are set out in your Service Agreement. Unless otherwise stated:
- Either party may terminate for convenience with [Notice Period, e.g., 30 days] written notice.
- Either party may terminate immediately if the other materially breaches these Terms and fails to cure the breach within a reasonable period after notice.
- Upon termination, you remain responsible for fees for services performed through the effective date of termination.
- Upon termination, we will provide reasonable assistance in transitioning accounts and materials for which you have paid, subject to any outstanding balances.
11. Disclaimer of Warranties
Except as expressly stated in a signed Service Agreement, our services and website are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of Liability
To the maximum extent permitted by law, Bent Creative and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenue, data, or goodwill, arising out of or related to these Terms or our services. Our total aggregate liability for any claim arising out of or relating to these Terms or our services will not exceed the total fees you paid to us for the services giving rise to the claim during the [three (3)] months immediately preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless Bent Creative and its owners, employees, and contractors from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) content or materials you provide; (b) your use of our services or deliverables; (c) your violation of these Terms; or (d) your violation of any law or third-party right.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Arizona, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in [Maricopa County], Arizona, unless your Service Agreement specifies an alternative dispute resolution process.
15. Changes to These Terms
We may update these Terms from time to time. The “Last Updated” date reflects the most recent version. Material changes will be posted on this page and, where appropriate, communicated to active clients. Your continued use of our website or services after changes take effect constitutes acceptance of the revised Terms.
16. Severability & Entire Agreement
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with any applicable Service Agreement and our Privacy Policy, constitute the entire agreement between you and Bent Creative regarding the subject matter herein.
